GENERAL

Studio S by Sumie (ABN: 59 669 186 218) operates business under Australian Law and this applies to all Client/s (hereinafter referred to as “The Client”) engaging in services with Studio S by Sumie, its contractors, subcontractors and employees unless otherwise agreed upon in writing by both parties. These Terms and Conditions are subject to change without notice and must be agreed upon before commencement of work.

INTELLECTUAL PROPERTY

Ownership on all preliminary designs, drafts and final works will remain with Studio S by Sumie and any third parties associated until the account is paid in full. Unlawful use of these design works is strictly prohibited. Studio S by Sumie will retain the right to use all preliminary designs, drafts and final works for promotional materials, printed and online portfolios. The Client also gives Studio S by Sumie permission to use The Client’s name, business name and other relevant information they find fit for testimonial and marketing purposes. The Client is responsible in copyrighting the final design and/or seeking Trademark.

PAYMENT AND CANCELLATION

Studio S by Sumie will require a 50% deposit from The Client prior to commencing work on their project. An invoice can be generated upon request and delivered to The Client via email. Upon completion and transfer of design works, the Client has 10 business days from receipt of invoice or transfer of final design works to pay their account in full. All prices quoted include GST unless stated otherwise.

If the project is cancelled by The Client, it must be in written notification by email. In this event of cancellation, Studio S by Sumie owns all design works and has full rights to exhibit and or/sell these designs (excluding business names). Studio S by Sumie retains the right to invoice The Client for all work completed up to the date of receipt of the written cancellation. If there is no communication from the The Client within 10 business days, the project is deemed cancelled. The Client must then follow payments procedures as indicated above.

LIABILITY

The Client or any third party is under agreement that Studio S by Sumie is not legally responsibly for any loss, damage suffered or incurred related to the use of the services, whether from amendments, errors or omission in documents, designs, information or any good or services offered by Studio S by Sumie. The Clients use of, or reliance on, any information or material Studio S by Sumie produces, amends or designs is entirely at the Client’s own risk, for which Studio S by Sumie shall not be liable. It will be the Client’s own responsibility to ensure that any products, services or information used meet their own specific requirements.

REVISIONS

All projects are kindly offered one major change and a set of ten minor revisions. Major changes include but not limited to any significant design and name alterations considered by Studio S by Sumie as timely and costly. Additional changes are charged at the price of $110.00 inc. GST.

DELAYS & TERMINATION

Studio S by Sumie shall not be liable for any failure or delay in supply or delivery of design works or services where such failure or delay is wholly or partly due to circumstances outside the reasonable control of Studio S by Sumie. In the unusual circumstances where Studio S by Sumie requires to terminate works with the Client, a mutually agreed amount will be determined and refunded to the Client.
